By accessing our website, creating a merchant account, or integrating our API, you confirm that you have read, understood, and agree to these Terms, along with our Privacy Policy, Refund Policy, and any other policies referenced herein. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.
You must be a legally registered business or an individual of at least 18 years of age, with the legal capacity to enter into a binding contract, to use our Services. You agree to provide accurate, current, and complete information during registration and to keep it updated at all times, including for KYC, KYB, and other compliance checks. We reserve the right to decline, suspend, or terminate registration where information provided is inaccurate, incomplete, or cannot be verified.
PayFlexGo provides a payment gateway enabling merchants to accept UPI, cards, net banking, wallets, QR, and international payments. Features, supported payment methods, and settlement timelines may vary based on your plan and are described on our Pricing page. We may add, modify, or discontinue features of the Services from time to time, and will make reasonable efforts to notify merchants of material changes that affect their use of the platform.
As a merchant, you agree to: provide accurate product, service, and pricing information to your customers; honour your own refund, cancellation, and delivery commitments; comply with all applicable laws, including consumer protection, tax, and data protection laws in the jurisdictions where you operate; and cooperate with PayFlexGo in any investigation relating to disputed, fraudulent, or suspicious transactions on your account.
Transaction fees are charged as a percentage of each processed payment, as described on our Pricing page or in your custom Enterprise agreement. Applicable taxes will be charged in addition to our fees where required by law. Settlement timelines (for example, T+2 or instant settlement) depend on your selected plan and are subject to change with notice. We reserve the right to withhold, delay, or place a reserve on settlement amounts where fraud, an elevated chargeback ratio, a payment dispute, or a regulatory review is suspected or in progress, until the matter is resolved.
You agree not to use our Services to process payments for illegal goods or services, prohibited or restricted categories under applicable card network or regulatory rules, to engage in money laundering or terrorist financing, to circumvent our risk or compliance controls, or to otherwise violate any applicable law or card network rule. We reserve the right to investigate, suspend, or terminate accounts that violate this section, and to report suspected illegal activity to the appropriate authorities.
API keys and credentials issued to you are confidential and must not be shared, published, or exposed in client-side code, public repositories, or other insecure locations. You are responsible for all activity that occurs using your credentials, and for promptly notifying us of any suspected unauthorized access. Sandbox or test keys are provided for integration and testing purposes only and must not be used to process real, live transactions.
All rights, title, and interest in and to the PayFlexGo website, dashboard, software, API, and related documentation, including all associated trademarks and logos, remain the exclusive property of PayFlexGo or its licensors. Nothing in these Terms grants you any right to use our name, branding, or trademarks without our prior written consent, except as reasonably necessary to indicate that you accept payments through our platform.
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information only for the purposes of performing under these Terms. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or a competent authority.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, PayFlexGo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure at all times.
To the maximum extent permitted by law, PayFlexGo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability for any and all claims arising out of or relating to these Terms or the Services is limited to the fees actually paid by you to PayFlexGo in the three months immediately preceding the event giving rise to the claim.
You agree to indemnify and hold PayFlexGo and its officers, employees, and affiliates harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law, or a dispute between you and your customers relating to goods or services sold through our platform.
We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, engage in fraudulent or suspicious activity, or where required by a regulator, court order, or banking or card network partner. You may close your account at any time by contacting our support team, subject to settlement of any pending transactions, resolution of open disputes, and completion of our standard offboarding process. Sections of these Terms that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and indemnification — will continue to apply.
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in India, unless otherwise expressly agreed by both parties in a separate written contract. Where required or agreed, the parties may first attempt to resolve a dispute through good-faith negotiation or mediation before pursuing formal proceedings.
We may revise these Terms from time to time to reflect changes in our Services, business practices, or applicable law. Material changes will be communicated through the dashboard or by email where appropriate, and the "Last updated" date above will be revised accordingly. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
